Non-Disclosure Agreement

This Non-Disclosure Agreement ("NDA") is entered into between VAKE Consulting ("VAKE") and the Client using the VAKE AI platform ("Client").

This agreement protects confidential information shared between both parties during the use of VAKE AI services.

Confidential Information includes, but is not limited to:

• SAP SuccessFactors credentials and API keys
• Employee data and HR information accessed through the platform
• Business processes and workflows
• Proprietary algorithms and system configurations
• Pricing information and contractual terms
• Any information marked as confidential

The Client agrees to:

• Keep all VAKE platform features and capabilities confidential
• Not share access credentials with unauthorized parties
• Not reverse engineer or attempt to extract proprietary technology
• Not disclose pricing or commercial terms to competitors
• Protect any documentation or training materials provided

VAKE agrees to:

• Protect all Client data with enterprise-grade encryption
• Not disclose Client information to third parties without consent
• Process data only for providing the agreed services
• Implement and maintain security best practices
• Notify Client promptly of any security incidents

The following information is not considered Confidential:

• Information that is publicly available
• Information independently developed without use of Confidential Information
• Information received from a third party without confidentiality restrictions
• Information required to be disclosed by law or court order

This NDA remains in effect for the duration of the service relationship and for a period of 3 years thereafter. Obligations regarding trade secrets continue indefinitely.
