Terms and Conditions

By accessing and using the SAP SuccessFactors AI Assistant ("Service"), you agree to be bound by these Terms and Conditions. This Service is provided by VAKE Consulting, a company registered in the United Arab Emirates ("Company", "we", "us", or "our").

The Service provides AI-powered assistance for SAP SuccessFactors operations, including but not limited to:

• Natural language queries and data retrieval
• Employee data management and CRUD operations
• HR workflow automation
• Report generation and analytics
• Integration with SAP SuccessFactors APIs

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of your organization.

2.1 Pricing Model

Our Service operates on a per-license subscription basis with all-inclusive pricing:

• Professional License: €500 per license per month
• Includes €50 monthly AI credit with Claude Haiku (default AI provider by VAKE)
• Optional: Use alternative AI providers (OpenAI, Google Gemini, xAI Grok) with your own API keys
• All features included: full data access, CRUD operations, reporting, exports, API access

2.2 Free Trial

New users receive a 3-day free trial with full AI capabilities included. Credit card information is required at signup.

2.3 Billing Cycle

Subscriptions are billed monthly in advance. Your billing cycle starts on the day you subscribe (after the trial period) and renews automatically on the same day each month.

2.4 Payment Methods

We accept major credit cards and various international payment methods through our payment processor, Stripe. All payment information is securely processed and stored by Stripe.

2.5 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial months.

2.6 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

3.1 Data Processing

We process your SAP SuccessFactors data solely to provide the Service. We do not sell, share, or use your data for any purpose other than delivering the functionality you've requested.

3.2 Data Storage

Your configuration data and settings are stored securely in Google Cloud Platform with encryption at rest and in transit. We do not permanently store your SAP SuccessFactors employee data - it is only accessed in real-time when you make queries.

3.3 Data Security

All sensitive information (API keys, credentials) is encrypted using AES-256 encryption. We implement industry-standard security measures to protect your data from unauthorized access.

3.4 Compliance

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including GDPR, CCPA, and any relevant industry regulations.

3.5 AI Provider Data Handling

The Service uses third-party AI providers (Anthropic Claude, OpenAI, Google, xAI) to process your queries. When using these AI services:

• Claude (Anthropic): API logs stored for 7 days, data never used for model training. See: Anthropic Data Retention Policy
• Other Providers: If you configure OpenAI, Google, or xAI with your own API keys, their respective data policies apply. Review each provider's terms before use.
• Trust & Safety: Content flagged for policy violations may be retained longer (up to 2 years for inputs/outputs, 7 years for classification scores) by AI providers.

3.6 Customer Data Responsibility

4.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to breach or circumvent any security measures
• Share your account credentials with unauthorized users
• Use the Service in a way that could damage or impair our systems
• Reverse engineer or attempt to extract the source code of the Service

4.3 API Usage

Each subscription includes specific API call limits. Exceeding these limits may result in service throttling or additional charges.

4.4 SAP SuccessFactors Credentials

You are responsible for providing valid SAP SuccessFactors credentials and ensuring you have the necessary permissions to access the data through our Service.

5.1 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. Scheduled maintenance and unforeseen circumstances may occasionally affect availability.

5.2 AI Limitations

Our AI assistant provides suggestions and automations based on machine learning models. While highly accurate, it may occasionally produce incorrect results. Always verify critical operations before execution.

5.3 Third-Party Dependencies

The Service depends on third-party services including SAP SuccessFactors, OpenAI, Anthropic, and Google Cloud. We are not liable for issues arising from these third-party services.

5.4 Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims under these terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

5.5 No Warranties

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

6.1 Termination by You

You may terminate your account at any time through the account settings or by contacting our support team.

6.2 Termination by Us

We reserve the right to suspend or terminate your account if you violate these terms, engage in fraudulent activity, or fail to pay subscription fees.

6.3 Effect of Termination

Upon termination, your access to the Service will be immediately revoked. You may export your configuration data before termination. We will delete your data within 90 days of termination unless required by law to retain it.

We reserve the right to modify these terms at any time. Material changes will be notified via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new terms.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

International Use: This Service is available globally. Users accessing the Service from other jurisdictions do so at their own risk and are responsible for compliance with local laws to the extent applicable. We make no representation that the Service is appropriate or available for use in any particular location.
